Affiliate Program Agreement

This is the agreement between you and JumpUp Learning LDA, the Portuguese limited company behind Sovereignty Stack. Read it before you apply, and read it again before you decline. The terms are intentionally short. The aim is a working partnership, not a contract that buries the work in legal language.

1. Who this is between

This agreement is between you, the affiliate, and JumpUp Learning LDA, tax number PT514145730, registered office Rua S. José Lote 34 1ºDto., S. Miguel das Encostas, 2775-746 Carcavelos, Portugal. References to "we," "us," and "our" mean JumpUp Learning LDA. References to "you" and "your" mean the natural person or organization accepted into the affiliate program.

By submitting the affiliate application, you confirm you have read this agreement and accept it as the basis of the working relationship between us.

2. Eligibility

To be accepted into the program, you must be at least eighteen years old, you must not be a current employee of JumpUp Learning LDA, and you must not operate a service that competes directly with Sovereignty Stack. You must have a valid PayPal account in your legal name capable of receiving payouts in United States dollars. You must provide a verifiable identification number for the audit trail Portuguese tax law requires of us.

We reserve the right to decline any application without giving a reason. Acceptance into the program is the start of the relationship, not a guarantee of future earnings. We may also suspend or terminate the relationship at any time if your conduct falls outside the standards in section four.

3. How the program pays

Your code earns commission on the courses your audience subscribes to. The terms are these.

Course commission rate: thirty percent of every successful billing for the first twelve months of a monthly subscription, or thirty percent of the single annual payment for an annual subscription. Renewals beyond month twelve, or beyond the first annual cycle, do not pay further commission. The commission base is the post-discount net revenue, before PayPal fees and before sales tax or VAT.

Customer discount: ten percent off the customer's price on courses and books, applied automatically when they enter your code at checkout or when they arrive on the site through your ?via= link inside the sixty-day attribution window.

Books: your code earns no commission on books, although the customer still receives the ten percent discount on book purchases. Books are priced too tightly for an affiliate margin to clear; the discount itself is the lure.

Coaching: coaching sessions are excluded from the program in full. They pay no commission and accept no affiliate code.

Currency: all payouts are made in United States dollars to your verified PayPal address. We do not pay in any other currency.

4. Conduct standards

Your conduct as an affiliate reflects on Sovereignty Stack. The following are prohibited and any one of them is grounds for termination, including the forfeiture of unpaid commissions earned through the prohibited conduct.

Spam and unsolicited messaging. Do not promote Sovereignty Stack through unsolicited email, SMS, direct messages, or comment-section postings. Promote it on platforms where you have a permission relationship with the audience.

Brand bidding in paid search. Do not bid on the trademarks "Sovereignty Stack," "JumpUp Learning," or "Noah Revoy," in their direct, plural, hyphenated, misspelled, or non-Latin-script forms, in Google Ads, Bing Ads, Meta, or any other paid-traffic system. The brand is ours to bid on.

Incentivised clicks. Do not pay your audience to click your link, do not run cashback or rebate offers tied to the affiliate signup, and do not run sweepstakes that require subscribing to Sovereignty Stack as the entry mechanism.

Misleading claims. Do not claim outcomes the curriculum does not promise, do not impersonate Noah Revoy, and do not present the product as endorsed, certified, or accredited by any institution that has not endorsed it.

Unauthorised promotion in regulated jurisdictions. Do not promote the program where the local regulator forbids affiliate or referral marketing for online education without specific licensing.

FTC disclosure. Where you operate under United States Federal Trade Commission jurisdiction, FTC regulation 16 CFR Part 255 requires you to disclose the affiliate relationship in any promotional content where it is not obvious from context. A short line such as "I earn a commission if you subscribe through my link" satisfies the rule. We do not draft your disclosure for you, and we do not enforce it on your behalf, but a violation of the rule is also a violation of this agreement.

5. Intellectual property

We grant you a limited, non-exclusive, non-transferable license to use the Sovereignty Stack name, logo, headshot of Noah Revoy, book covers, and approved promotional copy for the sole purpose of promoting the program through the channels you described in your application. The license reverts to us the moment your participation in the program ends, and you must remove our marks from any promotional surface you control within thirty days of termination.

You may not modify the marks, alter Noah Revoy's headshot, run the marks through generative-AI image transformation, or combine the marks with content that would embarrass us if a customer read it. A reasonable person reading the test is the test.

6. Payment terms

Commissions are recorded against your account at the moment the underlying customer payment captures successfully. Each commission then enters a thirty-day refund hold; if the customer refunds the payment during that window, the commission voids cleanly and no money changes hands.

After thirty days with no refund, the commission becomes payable. We accumulate payable balances until they cross one hundred United States dollars, at which point the balance becomes eligible for payout. Below the one-hundred-dollar threshold, your balance continues to accrue against future earnings; nothing is forfeited by sitting under the threshold.

Payouts are issued on Noah's manual approval through the PayPal Payouts service. There is no fixed schedule; we run approval rounds as the queue justifies them, typically every few weeks. You are notified by email when a payout is sent. The payout arrives in your PayPal account inside the standard PayPal timeline, usually within one to three business days.

If a customer refunds a payment after the commission has already been paid out to you, we record a clawback debit on your account that nets against your next payable commission. We do not pursue cash repayment from you for clawbacks; if you no longer have an active pipeline, we write the clawback off.

7. Right to adjust

We may adjust the commission rate, the customer discount, the attribution window, or the minimum payout threshold from time to time, and we will give you at least thirty days written notice before any change takes effect. Commissions already earned at the old rate remain at the old rate; only future conversions reflect the new terms.

8. Term and termination

Either party may end this agreement at any time, for any reason or for none, by written notice to the other. Notice from us reaches you by email at the address on your affiliate account. Notice from you reaches us by email at support@mysovereigntystack.com.

Termination does not extinguish commissions already earned and not yet paid. Earned-but-unpaid balances are paid in the next regular payout round provided the balance crosses the one-hundred-dollar threshold; below the threshold the balance is paid at our discretion as a final settlement.

9. Tax responsibility

You are responsible for the tax treatment of your commissions in your own jurisdiction. We do not withhold tax from your payouts and we do not file tax forms on your behalf. The identification information you provide on the application is held for the audit trail Portuguese tax law requires of us, not for any onward filing.

We do not issue United States Internal Revenue Service Form 1099. JumpUp Learning LDA is established in Portugal and the program does not generate United States source income for the purposes of 1099 reporting. If your home jurisdiction requires you to file your own returns on commission income, that filing is yours to complete.

10. Indemnification

You agree to indemnify and hold harmless JumpUp Learning LDA, its directors, employees, and contractors from any claim arising out of your promotional content, including but not limited to claims of defamation, false advertising, breach of intellectual property, breach of privacy, or breach of the FTC disclosure rule. The indemnity is the practical mechanism that keeps a bad-faith promotional decision on your side of the relationship rather than ours.

11. Governing law

This agreement is governed by the law of Portugal. Any dispute arising out of or in connection with this agreement is to be resolved in the competent courts of Lisbon, Portugal. The parties agree to use good-faith correspondence as the first step in any dispute, and to litigate only when correspondence has run its course.

12. Changes to this agreement

We may revise this agreement from time to time. Material changes are communicated by email and through a re-acceptance prompt the next time you open your affiliate dashboard. Continued use of the program after the effective date of a change is acceptance of the change. The current version of this agreement always lives at /affiliate/agreement and supersedes any older copy you may have on file.

This agreement is the full understanding between us in relation to the affiliate program. It supersedes any prior conversation, email, or representation about how the program works.
